These Terms of Service ("Terms") govern your use of the Roller Parts Australia website at www.rollerparts.com.au ("Website"), your use of any customer account or portal, and the purchase or supply of products and services from us.

By accessing our Website, submitting a request for quote, placing an order, accepting a quotation, creating an account or otherwise purchasing products or services from us, you agree to these Terms.

Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, restricted or modified, including rights under the Australian Consumer Law.


1. Parties, Eligibility and Accounts

"You" and "your" mean the individual, business, company or other entity accessing the Website, requesting a quotation, purchasing products or services, or holding an account with us.

If you use the Website or place an order on behalf of a company or other organisation, you warrant that you have authority to bind that organisation to these Terms.


1.2 Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to place an order, request services or create a customer account.

Roller Parts primarily supplies parts, components, equipment and services used in commercial, construction, roadworks, earthmoving and related industries. However, these Terms do not exclude any rights that may apply to you as a consumer under the Australian Consumer Law.

We supply customers throughout Australia and may supply international customers where we are able to arrange suitable shipping, payment and export arrangements.


1.3 Customer accounts

Certain Website features may require you to register for an account or customer portal.

You are responsible for maintaining the confidentiality and security of your login details and for activity occurring through your account.

You must notify us promptly if you believe your account or login credentials have been accessed or used without authorisation.

Information you provide when creating or using an account must be accurate, complete and kept reasonably up to date.

We may suspend an account where we reasonably believe there has been unauthorised access, fraudulent activity, misuse of the Website, a material breach of these Terms or a genuine security risk.



 

2. Pricing, Payment and Billing


2.1 Pricing

Unless otherwise stated, prices displayed or quoted by Roller Parts are in Australian dollars (AUD).

Where products or services are offered directly to consumers, prices will be displayed inclusive of GST and other unavoidable charges where required by law.

Business, trade or customised quotations may show prices exclusive of GST where this is clearly stated. GST will be added to the amount payable where applicable.

Shipping, freight, insurance, duties, customs charges, installation, removal or other additional services are not included unless they are expressly included in the applicable quotation or order.


2.2 Quotations

A quotation is valid for the period stated in the quotation. If no validity period is specified, the quotation is valid for 30 days from its date unless withdrawn earlier because of an obvious error or a material change outside our reasonable control.

A request for quote submitted through the Website does not create an order or require Roller Parts to supply the requested products or services.

Prices and availability may change before a quotation is accepted.


2.3 Payment

We may accept payment through methods including:

  • credit or debit card;

  • electronic funds transfer (EFT); and

  • any other payment method made available by Roller Parts from time to time.

Available payment methods may differ depending on the customer, order value, destination or type of work.

Payment is due at the time specified on the Website, quotation, tax invoice or customer account agreement.

For custom-manufactured products, special orders, workshop services or other substantial work, we may require a deposit or payment in stages. Any such requirement will be disclosed before you commit to the order.


2.4 Credit accounts and overdue amounts

Customers with an approved trade or credit account must pay invoices within the agreed payment period.

If an undisputed amount becomes overdue, we may, after giving reasonable notice:

  • suspend further supply or work;

  • place the customer's account on hold; or

  • seek reasonable costs actually incurred in recovering the overdue amount where permitted by law.

We will not exercise these rights in a manner prohibited by the Australian Consumer Law or unfair contract terms legislation.


2.5 Pricing errors

We take reasonable care to ensure pricing is accurate.

If a price has been displayed or quoted incorrectly because of a genuine typographical, system or administrative error, we may notify you and give you the option of proceeding at the correct price or cancelling the affected order for a full refund of amounts paid.



 

3. Orders, Quotes, Delivery and Performance


3.1 Formation of an order

Products displayed on our Website are invitations for customers to make an offer to purchase and do not necessarily constitute an offer by Roller Parts to supply the product.

An order is not accepted merely because you submit an order, request a quotation or receive an automated acknowledgement.

A binding contract for supply is formed when we accept your order or quotation, confirm that we will supply the products or services, or otherwise begin performing the agreed work.

We may reasonably decline an order before acceptance because of product availability, pricing errors, inability to deliver to the requested location, credit concerns, suspected fraud or another legitimate business reason.

If we decline an order after receiving payment, we will refund the affected amount.


3.2 Product information and compatibility

Roller Parts supplies components and parts for a wide variety of machines, makes and models.

Product descriptions, specifications, dimensions, photographs, OEM references, compatible-machine references and part numbers are provided to assist customers in identifying suitable products.

You are responsible for providing accurate information about your machine, including its make, model, serial number, configuration and any modifications where relevant.

Where Roller Parts recommends a product based on information you provide, we will take reasonable care in making that recommendation.

You should not install or modify a product that is clearly inconsistent with the equipment manufacturer's requirements or the specifications confirmed by Roller Parts.


3.3 OEM and manufacturer references

References to original equipment manufacturers, vehicle or machinery brands, model names and OEM part numbers are used for identification and compatibility purposes.

Unless expressly stated otherwise, such references do not mean that Roller Parts is affiliated with, endorsed by or sponsored by the relevant original equipment manufacturer.


3.4 Availability

Product availability shown on the Website is indicative only.

Some products may be manufactured, sourced, refurbished or ordered after an order is placed.

If we become unable to supply an accepted order, we will contact you and offer an appropriate alternative, revised timeframe or refund for any product we cannot supply.


3.5 Delivery

Estimated delivery and dispatch dates are estimates unless we expressly agree in writing that a particular date is guaranteed.

We will take reasonable steps to meet estimated delivery dates but delays may occur because of freight providers, manufacturers, suppliers, weather, industrial action, customs processes, natural disasters or other matters outside our reasonable control.

Where a delay becomes significant, we will communicate with you and provide available options.


3.6 Risk during delivery

For consumer transactions, risk in the goods passes to you when the goods are delivered to you or your nominated recipient, except where the law provides otherwise.

For commercial transactions, any different freight or risk arrangements will be stated in the applicable quotation or order.

If you independently engage your own carrier and instruct us to release goods to that carrier, risk may pass when the goods are collected by that carrier to the extent permitted by law.


3.7 Inspection on delivery

You should inspect deliveries as soon as reasonably practicable and notify us promptly of visible freight damage, incorrect products or shortages.

Prompt notification assists us in making claims against freight providers.

Failure to notify us immediately does not remove any rights you may have under the Australian Consumer Law.


3.8 International orders

International customers are responsible for ensuring products may lawfully be imported and used in their destination country.

Unless otherwise agreed, the customer is responsible for import duties, taxes, customs fees, permits, brokerage charges and other destination-country charges.

International delivery estimates may be affected by customs clearance and local authorities.



 

4. Services, Custom Products and Customer Equipment


4.1 Services

Roller Parts may provide services including refurbishment, repadding, drum reskinning, hardfacing and tungsten coating, shell kit installation, compactor conversions, wheel refurbishment and related fabrication or mechanical services.

The scope of work, price and estimated timeframe will normally be described in a quotation, job order or other written communication.


4.2 Customer responsibilities

You must provide the information, equipment, access, approvals and instructions reasonably required for us to complete the work.

Delays caused by missing information, approvals or customer-supplied equipment may affect the completion date.


4.3 Additional work

During inspection, dismantling, fabrication or refurbishment, we may discover wear, damage or defects that were not reasonably identifiable beforehand.

Where additional work would materially increase the agreed price or scope, we will seek your approval before carrying out that additional work unless immediate action is reasonably necessary to prevent injury or material damage.


4.4 Pre-existing conditions

We are not responsible for defects or failures in customer-supplied equipment that existed before our work or which arise from unrelated components, previous repairs, modifications, misuse, normal wear and tear or matters outside the scope of our work.

This clause does not limit our responsibility for loss or damage caused by our own breach, negligence or failure to comply with an applicable consumer guarantee.


4.5 Custom and special-order products

Custom-built, fabricated, modified or special-order products are manufactured or sourced specifically for the customer.

You are responsible for reviewing and confirming specifications, measurements, drawings or other information submitted for approval.

Once manufacture or procurement has commenced, a custom or special-order product generally cannot be cancelled for change-of-mind reasons.

This does not affect rights relating to faulty, incorrectly supplied or non-compliant goods under the Australian Consumer Law.



 

5. Returns, Refunds and Remedies


5.1 Australian Consumer Law

Our products and services come with guarantees that cannot be excluded under the Australian Consumer Law where those guarantees apply.

Nothing in these Terms is intended to exclude, restrict or modify those guarantees or any rights or remedies you have under applicable law.

Depending on the circumstances, you may be entitled to a repair, replacement, refund, resupply of services, cancellation or compensation where products or services fail to comply with an applicable consumer guarantee.


5.2 Faulty, damaged or incorrectly supplied products

If you believe a product is faulty, damaged, defective or incorrectly supplied, contact us as soon as reasonably possible at sales@rollerparts.com.au or 1300 799 990.

We may reasonably request photographs, part numbers, machine information, proof of purchase or other information needed to assess the issue.

Where appropriate, we may inspect or test a returned product before determining the applicable remedy.

Where the Australian Consumer Law requires Roller Parts to cover reasonable return or transportation costs, we will do so.


5.3 Change of mind

The Australian Consumer Law does not generally require a business to provide a refund solely because a customer changes their mind.

We may agree to accept the return of an unused standard-stock product at our discretion, provided the product is in original, resaleable condition and you obtain approval from us before returning it.

Unless we agree otherwise, the customer is responsible for change-of-mind return freight.

Custom-manufactured products, special-order products, products modified at the customer's request and used products are generally not eligible for change-of-mind returns.

These restrictions do not apply where you have a right to a remedy under the Australian Consumer Law or another applicable law.


5.4 Used products

Where a product is sold as used, refurbished, reconditioned or otherwise not new, its condition and any known material defects will be described where reasonably practicable.

The fact that a product is used does not remove consumer guarantees that apply under the Australian Consumer Law, although the product's age, condition, price and disclosed defects may be relevant when determining what level of quality is reasonable.


5.5 Manufacturer warranties

Some products may be covered by a manufacturer's warranty.

Any manufacturer's warranty is additional to, and does not replace, rights you may have under the Australian Consumer Law.


5.6 Roller Parts warranties

If Roller Parts provides a separate written warranty against defects for a particular product or service, the terms of that warranty will be supplied separately and will operate in addition to your rights under the Australian Consumer Law.



 

6. Acceptable Use and User Content

You must not use our Website, customer portal or systems to:

  • engage in unlawful, fraudulent or misleading activity;

  • introduce malicious code, viruses or other harmful technology;

  • attempt to gain unauthorised access to our systems or another person's account;

  • scrape, harvest or systematically extract Website data without our written permission;

  • interfere with the normal operation or security of the Website;

  • reverse engineer Website software except where expressly permitted by law;

  • impersonate another person or provide deliberately false information;

  • send spam or unsolicited commercial communications through our systems; or

  • upload content that infringes intellectual property rights, privacy rights or other legal rights.

Where you submit reviews, photographs, testimonials, enquiries, specifications or other content to us, you retain ownership of your content.

You grant Roller Parts a non-exclusive, royalty-free licence to use that content to the extent reasonably necessary to provide the requested products or services, operate our Website, respond to your enquiry or, where you have agreed to it, use the content for marketing purposes.

We may remove content from our systems where we reasonably believe it is unlawful, misleading, offensive, infringing or inconsistent with these Terms.



 

7. Intellectual Property

The Website and its contents, including the Roller Parts name and branding, logos, graphics, photographs, product information, illustrations, videos, text, layouts, software and other material created or owned by Roller Parts are protected by intellectual property laws.

Unless otherwise stated, Roller Parts or its licensors own or have the right to use this material.

We grant you a limited, non-exclusive and revocable licence to access and use the Website for legitimate personal or business purposes connected with purchasing, researching or obtaining information about our products and services.

You must not, without our prior written consent:

  • reproduce substantial parts of the Website;

  • commercially exploit or resell Website content;

  • use our branding in a way that implies endorsement or affiliation;

  • create derivative commercial materials from our content;

  • frame or mirror substantial parts of the Website on another website; or

  • remove copyright, trade mark or proprietary notices.

Nothing in these Terms transfers ownership of Roller Parts intellectual property to you.



 

8. Privacy, Data and Security


8.1 Privacy

We handle personal information in accordance with applicable Australian privacy laws and our Privacy Policy.

The Privacy Policy explains the types of personal information we collect, how we collect and use it, when it may be disclosed and how you may contact us regarding privacy matters.


8.2 Analytics and cookies

8.3 Third-party providers

Your use of certain third-party services may also be subject to the provider's own terms and privacy practices.


8.4 Security

We take reasonable steps to protect information and systems within our control. However, no online service or transmission method can be guaranteed to be completely secure.

You are responsible for taking reasonable precautions when accessing your account, including maintaining secure passwords, protecting your devices and notifying us if you suspect unauthorised access.



 

9. Disclaimers and Liability


9.1 Website information

We take reasonable care to ensure the information on our Website is accurate and current.

However, Website information may occasionally contain errors, omissions or outdated information.

General Website information is provided for informational purposes and should not be treated as a substitute for specific technical advice about a particular machine, installation or application.

If compatibility or specification is critical, contact Roller Parts before purchasing or installing the product.


9.2 Installation and use

Products must be installed, operated and maintained by appropriately skilled persons and in accordance with applicable manufacturer requirements, safety standards and laws.

We are not responsible for loss caused by improper installation, unauthorised modification, misuse, failure to maintain equipment or use outside the product's intended specifications, except to the extent the loss was caused by Roller Parts or we are otherwise liable under applicable law.


9.3 Non-excludable rights

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, condition, warranty, right or remedy that cannot lawfully be excluded, restricted or modified.


9.4 Limitation of liability

To the maximum extent permitted by law and subject to clause 9.3, Roller Parts is not liable for indirect or consequential loss that was not reasonably foreseeable, including loss of profit, loss of production or loss of business opportunity.

For transactions where liability may lawfully be limited, our aggregate liability arising from a particular product, service or order will not exceed the amount paid or payable to Roller Parts for the product, service or order giving rise to the claim.

This limitation does not apply to liability that cannot lawfully be limited, including liability arising from fraud, wilful misconduct, certain personal injury claims or applicable consumer guarantees.




10. Indemnities and Risk Allocation

To the extent permitted by law, you indemnify Roller Parts against third-party claims, losses or reasonable costs arising directly from:

  • your unlawful use of the Website or products;

  • your material breach of these Terms;

  • information or content supplied by you that infringes another person's rights; or

  • modification, installation or use of a product contrary to our instructions where that conduct causes the relevant loss.

Your liability under this indemnity will be reduced proportionately to the extent the relevant loss was caused or contributed to by Roller Parts, including through our negligence, breach of contract or failure to comply with applicable law.

We will take reasonable steps to notify you of a material third-party claim for which we seek indemnification and will not unreasonably incur settlement costs without giving you an opportunity to participate in the defence of the claim.




11. Suspension, Cancellation and Termination


11.1 Suspension

We may temporarily suspend access to an account, delay an order or suspend further work where reasonably necessary because of:

  • a material breach of these Terms;

  • an overdue undisputed payment;

  • suspected fraud or unlawful conduct;

  • a genuine safety or cybersecurity risk; or

  • conduct that threatens our staff, systems, property or other customers.

Where practicable, we will notify you of the reason and provide a reasonable opportunity to remedy the issue.


11.2 Cancellation by the customer

You may request cancellation of an order by contacting us.

Whether an accepted order can be cancelled will depend on whether products have already been ordered, manufactured, modified, dispatched or work has commenced.

We will not charge you more than our reasonable losses or costs arising from an agreed cancellation, except where otherwise lawfully agreed.

Your rights to cancel because of a failure by Roller Parts or under the Australian Consumer Law are not affected.


11.3 Termination

Either party may terminate an ongoing service or account arrangement where the other party commits a material breach and fails to remedy the breach within a reasonable period after receiving notice, where the breach can be remedied.

We may terminate immediately where continuation would be unlawful, create a serious safety or security risk, or involve fraud or serious misconduct.


11.4 Consequences

Termination does not affect rights or liabilities that arose before termination.

Amounts properly due for products supplied or work already completed remain payable.

Following termination, we will handle personal information in accordance with our Privacy Policy and applicable legal retention requirements.




12. Dispute Resolution and Governing Law

We will attempt to review and resolve complaints promptly and in good faith.


12.2 Escalation

If a commercial dispute cannot be resolved through ordinary discussions, either party may request that the matter be escalated to a senior representative of each party.

The parties should make reasonable efforts to resolve the dispute through negotiation before commencing court proceedings.

Where appropriate, the parties may agree to use mediation or another form of alternative dispute resolution.

Nothing in this clause prevents either party from seeking urgent court orders or exercising rights available under the Australian Consumer Law or another applicable law.


12.3 Governing law

These Terms are governed by the laws of Queensland, Australia.

Subject to any rights you have to bring proceedings elsewhere under applicable consumer law, the parties submit to the courts of Queensland and courts having jurisdiction to hear appeals from those courts.




13. Changes to These Terms and Notices


13.1 Changes

We may update these Terms from time to time to reflect changes to our products, services, Website, business practices or legal obligations.

The latest version will be published on our Website with the date it was last updated.

Changes will apply prospectively and will not retrospectively alter an order or contract already accepted unless:

  • both parties agree;

  • the change is required by law; or

  • the existing agreement expressly permits the change in circumstances where doing so is fair and reasonable.

Where a material change affects an ongoing account or service arrangement, we will take reasonable steps to notify affected customers before the change takes effect.


13.2 Notices

We may provide notices through the Website, customer portal, email, invoice, quotation or other contact details you have provided to us.

You are responsible for keeping your contact information reasonably current.




14. Interpretation, Definitions and Precedence


14.1 Australian Consumer Law

"Australian Consumer Law" or "ACL" means Schedule 2 to the Competition and Consumer Act 2010 (Cth), as applied as a law of the Commonwealth, states and territories of Australia.


14.2 Business Day

"Business Day" means a day other than a Saturday, Sunday or public holiday in Queensland.


14.3 Products

"Products" includes new, used, refurbished, reconditioned, custom-manufactured and special-order parts, components, equipment and other goods supplied by Roller Parts.


14.4 Services

"Services" includes fabrication, refurbishment, repadding, reskinning, coating, installation, conversion, repair and other services supplied by Roller Parts.


14.5 Website

"Website" means www.rollerparts.com.au, including associated online ordering, quotation and customer account functionality operated by or on behalf of Roller Parts.


14.6 Written communications

References to "writing" or "written" communications include email and other electronic communications capable of being retained and reproduced.


14.7 Precedence

If separate documents apply to a transaction and their terms conflict, the following order of precedence applies unless expressly agreed otherwise:

  1. a specifically negotiated written agreement signed or accepted by both parties;

  2. an accepted quotation, order form or statement of work;

  3. any service-specific or product-specific terms expressly incorporated into the transaction; and

  4. these Terms.

However, nothing in another document overrides a right or remedy that cannot lawfully be excluded.


14.8 Severability

If any provision of these Terms is unlawful, invalid or unenforceable, it will be read down to the minimum extent necessary or, if it cannot be read down, severed without affecting the remaining provisions.


14.9 No waiver

A failure or delay in exercising a right under these Terms does not automatically waive that right.


14.10 Headings

Headings are included for convenience and do not affect interpretation.
